Family Limited Partnerships (FLP/FLLC)
Persons that have assets to protect and pass to the next generation exchange these assets for general and limited ownership shares (or voting interests). The remaining shares of ownership are/can be distributed to the next generation (children, grandchildren, nieces, nephews, etc.). When structured correctly, these legal entities can provide asset protection (divorce, lawsuits, etc.), control and flexibility to the ones creating it, estate tax reduction, wealth distribution and gift tax reduction.
Limited Liability Companies
A limited liability company (“LLC”) is another type of asset protection entity. An LLC provides a separation between itself and the owners. Typically, an individual’s property is protected against liabilities of the LLC, for example a lawsuit. An LLC also provides for pass-through taxation which means the entity does not pay income taxes. The LLC is owned by members (voting/non-voting) and can have managers that operate and oversee the day-to-day functions of the LLC. The LLC also affords flexibility, control, wealth distribution, gift tax reduction and estate tax reduction.
Asset Protection Trusts
These are specialized trusts to protect against creditor exposure. This trust may also be considered before marriage as a backstop to a prenuptial agreement. There are many rights or powers a settlor may retain over assets. A Domestic Asset Protection Trust is not for everyone but can be a powerful addition to your estate plan.

Incapacity means you are unable to physically care for yourself or mentally make decisions. Incapacity can be temporary or permanent. With a written, coordinated incapacity plan, you are in control of who can manage your affairs and make health decisions for you.
If you have no written plan in place, a probate court will intervene and name someone to handle your affairs that you may not have chosen. This supervised court proceeding is called living probate for the appointment of a conservator and/or guardian.
Incapacity planning can involve a number of techniques such as durable power of attorneys, medical power of attorneys, revocable living trusts, advanced healthcare directives/living will, etc. We are here to assist you in creating your Incapacity Plan to serve your needs and goals.
